OFFICIAL RULES

 

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. YOU HAVE NOT YET WON.
 
The Sponsor of this Sweepstakes is Gotham Greens Farms LLC, 810 Humboldt St, Third Floor, Brooklyn, NY 11222.

 

ELIGIBILITY.  The Sweepstakes is only open to legal residents of the United States and the District of Columbia (excluding Alaska, Florida, Hawaii, New York, Puerto Rico, U.S. Virgin Islands and other U.S. territories and possessions) and who are eighteen (18) years of age or older at the time of entry.  Employees of Gotham Greens Farms LLC, 1 Hotel Brooklyn Bridge, Brooklyn Pier 1 Hotel Tenant, L.P., SH Group Hotels & Residences U.S., L.L.C., their respective owners, parent companies, affiliates, subsidiaries, advertising and any entity involved with the development, production, implementation, administration and fulfillment of the Sweepstakes, including their immediate family members and/or those living in the same household (“Released Parties”) are not eligible to enter or win.  Void in Alaska, Florida, Hawaii, New York, Puerto Rico, U.S. Virgin Islands and U.S. territories and possessions. Eligibility is contingent on agreement to and compliance with these Official Rules.  Sponsor’s decisions are final and binding on all matters related to this Sweepstakes.

 

SWEEPSTAKES PERIOD.  The Sweepstakes begins at 1 PM ET on July 1, 2024, and ends at 11:59 PM on July 15, 2024 (“Sweepstakes Period”). All entries must be received on or before 11:59 PM ET on July 15, 2024.

 

HOW TO ENTER
During the Sweepstakes Period, go to www.gothamgreens.com/giveaway and to the indicated Instagram post for Gotham Greens and follow the instructions to complete and submit your basic contact information using the submission form; tag one (1) friend on the Sweepstakes post; and follow @GothamGreens and @1hotel.bklynbridge. (By entering the Sweepstakes, you agree to receive email newsletters periodically from Gotham Greens and 1 Hotels mailing list.) You must complete these steps for your submission to be eligible as an entry into the Sweepstakes.
 
Limit one (1) entry per person. Sponsor reserves the right to remove your submission from eligibility if you attempt to circumvent the Official Rules.
 
You must be a registered Instagram account holder to enter and the submissions must be associated with an Instagram account.  An Instagram account registration and Sweepstakes entry is free. In the event of a dispute as to the identity of the entrant, any online entry will be deemed submitted by the authorized account holder of the email account from which it was provided (including the primary email account associated with an Instagram account), provided such account holder must still meet the eligibility requirements for the Sweepstakes.
 
WINNER SELECTION AND NOTIFICATION. Potential winners will be selected in a random drawing from all eligible entries received during the Sweepstakes period. Sponsor’s computer is the official clock for this Sweepstakes. Sponsor reserves the right to disqualify entries that do not conform to the Official Rules, including containing any illegal, inappropriate or questionable content. The odds of winning depend on the number of eligible entries received. Drawings will be conducted by Sponsor during the week of July 15, 2024.  Potential winners must comply with all terms and conditions of these Official Rules to win.  Potential winner(s) will be notified by email by July 25, 2024.  If potential winner is found to be ineligible or not in compliance with the Official Rules, winner will be disqualified and an alternate winner will be awarded the prize in a separate random drawing. If a potential winner does not respond to the email within 7 days after notification, an alternate winner will be drawn. A participant is not a winner of any prize, even if notified of being a winner, unless and until the participant’s eligibility has been verified.

 

PRIZES AND APPROXIMATE RETAIL VALUE

One (1) Grand Prize will be awarded (total approximate retail value of $4500) consisting of:

• A gift card for airfare valued up to $1,000 for roundtrip travel for two people
• $100 credit for ground transportation
• 1 Hotel Brooklyn Bridge voucher for a three (3) consecutive night double-occupancy stay (“Stay”)
• $100 credit for dining within any food and beverage provider within 1 Hotel Brooklyn Bridge (“F&B Credit”)
• $100 credit for Bamford Wellness Spa at 1 Hotel Brooklyn Bridge (“Spa Credit”)
• A Private Tour of a Gotham Greens Greenhouse
• A Welcome Gift bag
• NYC subway metro card

 

The Grand Prize winner will receive an airline gift card for travel valued at up to USD $1,000, redeemable for air ticket travel originating from the closest major U.S. commercial airport to the winner’s residence to any of the New York City metropolitan area airports (John F. Kennedy, LaGuardia or Newark Airports).  The airline gift card of the prize may only be redeemed by the winner (the person to whom the gift card is made). Travel must be booked before July 25, 2025, or the prize will be forfeited, and Sponsor will have no obligation to award compensation in lieu thereof.  Gift cards are not negotiable, not endorsable, not transferable. Winner is solely responsible for arranging travel bookings and the dates and times of travel are subject to availability by the airline. Winner is responsible for any and all travel-related costs that exceed the $1,000 value of the airline gift certificate.  All other expenses such as spending money and additional travel which are not otherwise part of the Grand Prize will be the sole responsibility of the winner. The airline gift card and any other credits and gift certificates awarded to the winner become the responsibility of the winner upon possession of the same and will not be replaced.  Airline gift card is subject to all terms and conditions thereon.  In addition, Grand Prize winner will be awarded a voucher for a Stay at 1 Hotel Brooklyn Bridge with an F&B Credit for dining within 1 Hotel Brooklyn Bridge, and a Spa Credit for use at the Bamford Wellness Spa within 1 Hotel Brooklyn Bridge (together, “Credit”).  The Stay must be used prior to July 31, 2025.  The Stay must be booked directly with 1 Hotel Brooklyn Bridge. The Credit is also subject to the following: (i) Sponsor shall issue a hotel voucher but 1 Hotel Brooklyn Bridge shall select all elements of the Stay (including, without limitation, blackout dates, guest room type, etc.) in its sole discretion, (ii) the Stay is subject to availability, all Hotel rules, regulations and policies (including, without limitation, occupant restrictions as determined by the room type selected by the 1 Hotel Brooklyn Bridge), (iii) the Stay shall cover the standard room rate for three (3) consecutive nights at the hotel (subject to these terms and conditions), (iv) the Prize does not include coverage of any expenses or other items other than as explicitly stated above, for example the Prize shall not include the following: transportation costs, food and beverage costs other than the Credit, parking costs, tips, payment of any taxes, or payment of any resort fees; (v) photo identification and a credit card may be required at Hotel check-in to verify the  winner’s identity and to cover any incidental charges or expenses (including all items not included in the room rate); (vi) the F&B Credit may only be used at dining outlets selected by 1 Hotel Brooklyn Bridge by charging the bill to the winner’s room; (vii) the Spa Credit may only be used by charging the bill to the winner’s room; (viii) the F&B Credit and Spa Credit may only be used during the Stay dates; (ix) 1 Hotel Brooklyn Bridge may close the Bamford Spa and any food and beverage outlet at any time for any reason; and (x) once the Hotel accepts the Stay and creates a reservation, the Stay cannot be cancelled or modified except as permitted by 1 Hotel Brooklyn Bridge (in its sole discretion).
 
Each potential winner, at Released Parties discretion, may be required to execute an affidavit of eligibility, a liability release, and (where legal) a publicity release. The winner of the Prize shall comply with all requirements, failure to do so will result in forfeiture of the Prize without compensation of any kind. The listed approximate prize value is an estimate only and depending on winner and Hotel selections, the actual value of the Prize may be less than the listed estimate of value. Winner shall not be entitled to any additional compensation if the actual value of the Prize is less than the approximate value.
 
Grand Prize winner will also receive gift certificates from Sponsor’s partners, redeemable for the value and expiration date as indicated on the certificates.
 
Twelve (12) Sprout Prizes (each with a minimum approximate retail value of $260):
 
Each of the twelve (12) winners will receive one (1) prize awarded at least twenty-six (26) Gotham Greens product coupons, each coupon representing a free Gotham Greens product having an approximate retail value of up to $10. Each winner is responsible for redeeming the coupons at a grocery store where Gotham Greens’ products are sold and prior to the coupon expiration date.
 
Each prize will be mailed to winner’s mailing address, and the coupons will be valid for approximately 12 months after the date of mailing to the winners.  Each winner is responsible for redeeming the coupons at a grocery store prior to the coupon expiration date.

 

Total approximate retail value of all prizes available to be won in this Sweepstakes is $8500. Limit of one prize per person/family/household. Prizes consist of only the items specifically listed as part of the prize. All prize details not specifically set forth herein will be determined by Sponsor in its sole discretion. All costs and expenses associated with the acceptance and use of a prize not specified herein including, but not limited to, all federal, state and local taxes, and other miscellaneous travel expenses are winner’s sole responsibility. No substitution or transfer of prize by winner permitted. Sponsor reserves the right to substitute a prize of equal or greater value at its sole discretion. All prizes must be used within 12 months from the date of the prize, or as indicated on the gift certificate. Any prize that is unused by the expiration date will be forfeited and no compensation will be provided. Sponsor is not responsible for any cancellation, postponement or unavailability of any element or detail of a prize. Sponsor shall have no obligation to the winners aside from providing the remaining portion of the prize. Any difference between the stated estimated value of the Prize and its actual value will not be awarded. Winner agrees to accept the Prize “as is” with no warranty or guarantee, either express or implied, by Sponsor.

 

GENERAL CONDITIONS.

The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes if it cannot be executed as planned for any reason or event beyond Sponsor’s control, including but not limited to a Force Majeure event or occurrence, an “act of God” (e.g., natural disaster, etc.) or an unforeseeable health event (e.g., pandemic) making it inadvisable, impractical, impossible or illegal or which materially affects a parties ability to perform its obligations under this agreement in whole or in part, or if fraud, technical failures, human error or any other causes beyond the reasonable control of the Sponsor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. If terminated, Sponsor may, at its discretion, award the prize from among all non-suspect, eligible entries received up to the time of such action. In no event will more than the stated number of prizes be awarded. Released Parties assume no responsibility for undelivered or undeliverable email or other messages; including, without limit, any winner notification that is not delivered. Released Parties are not responsible for computer, network, technical, printing, typographical, human or other errors, problems or malfunctions relating to or in connection with the Sweepstakes, including without limitation, errors, problems or malfunctions that may occur in connection with the administration of the Sweepstakes, the announcement of the prizes, the processing of entries or in any Sweepstakes-related materials; or for transactions or mail that are lost, misdirected, or fail to enter into the processing system for any reason; or are processed, reported, or transmitted late or incorrectly. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any promotional materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Sponsor not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of prizes. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. If any provision of these Official Rules shall be unlawful, void, or unenforceable, that provision shall be deemed severable from the Official Rules, and the remaining Official Rules shall be enforced to the fullest extent allowed by law.
 
Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. Sponsor will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the Official Rules or the Sweepstakes and its decisions shall be final.
 
RELEASE AND INDEMNIFICATION. Entrants/winners agree to release, discharge and hold harmless Released Parties and their respective successors and assigns from and against any claim or cause of action or liability (including but not limited to, personal injury, death or damage to or loss of property) arising out of participation in the Sweepstakes or from the acceptance, use or misuse of the prize or any prize related-activity, or any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action. Prize winner agrees and acknowledges that he/she/they will be solely responsible for any actions, claims or liabilities of their guest associated with any prize-related activity, including, without limitation, any actions, claims or liabilities related to a guest’s use of the prize. Prize winner shall bear all risk of loss or damage to the prize after it has been delivered/awarded. The components of the prize are subject to change based on local health and safety guidelines at the time of award. In the event any portion of the prize is canceled or postponed for any reason, the Released Parties will have no further obligation to award compensation in lieu thereof. Acceptance of a prize constitutes permission for the Sponsor and its agencies to use winner’s name and/or likeness for purposes of advertising and trade without further compensation, including a winners list, unless prohibited by law. All items reposted to any Sponsors socials will have credit back to the winners.
 
By entering the Sweepstakes, you agree, to the extent allowed by applicable law,  that (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, or any prize awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments, and awards shall be limited to reasonable and actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney’s fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental, indirect or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for reasonable and actual out-of-pocket expenses.
 
CHOICE OF LAW. Any disputes arising out of or related to the Sweepstakes shall be subject to the exclusive jurisdiction of the state and federal courts located in Illinois, and participants consent to the personal jurisdiction and venue of such courts.
 
PRIVACY. By entering the Sweepstakes, entrants fully and unconditionally agree to be subscribed to Gotham Greens’ free email newsletter and 1 Hotel’s marketing list. Personal information collected during the Sweepstakes will be used solely for the purpose of administering the Sweepstakes and awarding the prizes. Participants’ information will NOT be shared with third parties unless required by law. Information provided for Gotham Greens’ free email newsletter shall be governed by the following privacy policy posted at https://www.gothamgreens.com/privacy-policy/ and 1 Hotel’s marketing list shall be governed by the following privacy policy posted at  https://www.1hotels.com/terms-conditions. By submitting an entry, you understand and agree that the information you submit will be transmitted to and stored on servers located in the United States.
 
DISCLAIMER OF ENDORSEMENT. This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram. Instagram is completely released of all liability by each entrant in this Sweepstakes.
